This license is granted for the purpose of enabling you to use and enjoy the benefit of the services as provided by CodeAura, in the manner permitted by these Terms. The scope of the license does not include any resale or commercial use of the service or its contents; any derivative use of the service or its contents; or any use of data mining, robots, or similar data gathering and extraction tools.

5.3 - User Content Licenses

When you upload, submit, store, send, or receive content to or through the CodeAura platform, you grant CodeAura (and its successors and affiliates) a worldwide, non-exclusive, royalty-free, perpetual, sublicensable, and transferable license to use, host, store, reproduce, modify, create derivative works (such as those resulting from translations, adaptations, or other changes we make so that your content works better with our services), communicate, publish, publicly perform, publicly display, and distribute such content for the limited purpose of operating, promoting, and improving our services, and to develop new ones. This license continues even if you stop using our services, but some services may offer you ways to access and remove content that has been provided to those services. Furthermore, you warrant that you have and will continue to have all necessary licenses, rights, consents, and permissions which are required to enable CodeAura to use your content for the purposes of the provision of the service by CodeAura.

You retain ownership of any intellectual property rights that you hold in that content. In short, what belongs to you stays yours. You represent and warrant that you have all the rights, power, and authority necessary to grant the rights granted herein to any content that you submit, including all the rights necessary for you to provide, post, upload, input, or submit the content.

6.3 - Responsibility for Your Content

You are solely responsible for the content that you create, upload, post, send, receive, or store through the CodeAura platform. You must ensure that your content complies with the Contribution Guidelines and does not violate any applicable laws or regulations. You agree to bear all risks associated with your content, including anyone's reliance on its quality, accuracy, or reliability, and any risks associated with personal information you disclose.

You acknowledge that CodeAura does not pre-screen content, but that CodeAura and its designees have the right (but not the obligation) in their sole discretion to refuse or remove any content that is available via the service. Without limiting the foregoing, CodeAura and its designees shall have the right to remove any content that violates the Terms and Conditions or is deemed by CodeAura, in its sole discretion, to be otherwise objectionable.

You understand that by using the CodeAura platform, you may be exposed to content that might be offensive, harmful, inaccurate, or otherwise inappropriate, or in some cases, postings that have been mislabeled or are otherwise deceptive. Under no circumstances will CodeAura be liable in any way for any content, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available via the service.

7 - Service Access and Changes

7.1 - Service Availability

CodeAura strives to ensure reliable access to its suite of solutions at all times. However, due to the inherent nature of online and cloud-based services, uninterrupted access cannot be guaranteed. Access to the service may be affected by factors beyond our control, such as user volume, network reliability, and maintenance requirements. While we aim to maintain the highest level of service availability, CodeAura reserves the right to modify, suspend, or discontinue any aspect of the service at any time, including hours of operation or availability of the service or any feature, without notice or liability.

CodeAura shall not be liable for any loss or damage arising from or in connection with any modification, suspension, or discontinuance of the service or any temporary interruptions to the availability of the service. Users are encouraged to use discretion and rely on their own backup systems and processes as part of their use of CodeAura's services to mitigate potential impacts of such interruptions or changes.

8 - Payments, Fees, and Renewals

8.1 - Subscription Fees

CodeAura offers various subscription plans for its services, which may include monthly or annual payment options. The specific fees and subscription options are detailed on the CodeAura platform or provided as part of the subscription process. All fees are quoted in the currency specified at the time of purchase and are subject to change at CodeAura's discretion. Fee changes will be effective at the start of the next subscription period following the date of the fee change. By subscribing to CodeAura services, you authorize us to store your payment method and to automatically charge your payment method for all fees and charges due and payable to CodeAura.

8.2 - Cancellation and Refund Policy

Subscribers may cancel their subscription to CodeAura services at any time. The cancellation will take effect at the end of the current billing cycle, and subscribers will have continued access to the service until the end of that cycle. CodeAura does not provide refunds or credits for any partial subscription periods or unused services, except as expressly stated in these Terms and Conditions or as required by applicable law.

To cancel your subscription, please follow the instructions on the CodeAura platform or contact our customer support team for assistance. It is important to manage your subscription preferences before the renewal date to avoid unintended charges.

8.3 - Automatic Renewals

To ensure uninterrupted service, CodeAura subscriptions will automatically renew at the end of the applicable subscription period for a similar period of time at the then-current subscription rate. We will attempt to charge your provided payment method a few days prior to your renewal date. We will also notify you in advance of your subscription renewal, including information about the current subscription fee as well as any changes to the terms of your subscription.

If your payment method fails or your account is past due, we may collect fees owed using other collection mechanisms, including charging other payment methods on file with us and retaining collection agencies and legal counsel. We may also suspend or terminate your access to our services until payment is received.

By subscribing to CodeAura services, you acknowledge and agree to these payment, fee, and renewal terms. You also agree to promptly update your account and payment information to ensure that billing is processed successfully.

9 - Termination

9.1 - Grounds for Termination

CodeAura reserves the right to terminate or suspend your access to and use of the CodeAura services immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms and Conditions. Grounds for such termination may include, but are not limited to:

  • Non-payment of any fees owed by you in connection with your use of the CodeAura services.
  • Unauthorized access or use of the service, including any attempt to probe, scan, or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization.
  • Use of the service to send, store, or distribute any viruses, worms, Trojan horses, or other malicious code or harmful content.
  • Any action that imposes or may impose (in CodeAura's sole discretion) an unreasonable or disproportionately large load on CodeAura's infrastructure.
  • Any use of automated systems or software to extract data from the CodeAura website or service for commercial purposes ("screen scraping").
  • Any illegal or fraudulent use of the services.

Upon termination, your right to use the CodeAura services will cease immediately.

9.2 - Effect of Termination

Upon termination of your account or the services:

  • All your rights granted under these Terms and Conditions will immediately cease.
  • You must immediately cease all activities authorized by these Terms, including your use of any services provided by CodeAura.
  • You will lose access to your account and all content or data stored within your account. CodeAura is under no obligation to provide you with a copy of any content or data you posted or stored on the CodeAura platform.

CodeAura will not have any liability whatsoever to you for any suspension or termination, including for deletion of your content or data. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9.3 - Survival

Certain provisions of these Terms and Conditions by their nature are intended to survive the termination or expiration of your use of the CodeAura services. These include, but are not limited to, intellectual property rights, warranty disclaimers, indemnity, and limitations of liability. Upon termination, these provisions will remain in effect and bind both you and CodeAura as applicable. The termination of your access to and use of the CodeAura services does not relieve you of any obligations arising or accruing prior to termination or limit any liability which you otherwise may have to CodeAura or any third party.

10 - Disclaimers and Limitations of Liability

10.1 - No Warranties

CodeAura provides its suite of solutions "as is" and without any warranty or condition, express, implied, or statutory. We specifically disclaim any implied warranties of title, merchantability, fitness for a particular purpose, and non-infringement. CodeAura does not guarantee continuous, uninterrupted access to the services, and operation of the CodeAura website and services may be interfered with by numerous factors outside of our control.

CodeAura makes no representations or warranties about the accuracy, completeness, reliability, or timeliness of the content, software, text, graphics, links, or communications provided on or through the use of the CodeAura platform. You agree that the use of the CodeAura services is at your sole risk.

10.2 - Limitation of Liability

In no event shall CodeAura, its officers, directors, employees, or agents, be liable for any direct, indirect, incidental, special, punitive, or consequential damages whatsoever resulting from any (i) errors, mistakes, or inaccuracies of content, (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to and use of our services, (iii) any unauthorized access to or use of our secure servers and/or any and all personal information and/or financial information stored therein, (iv) any interruption or cessation of transmission to or from our services, (iv) any bugs, viruses, Trojan horses, or the like, which may be transmitted to or through our services by any third party, and/or (v) any errors or omissions in any content or for any loss or damage of any kind incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available via the CodeAura services, whether based on warranty, contract, tort, or any other legal theory, and whether or not the company is advised of the possibility of such damages.

The foregoing limitation of liability shall apply to the fullest extent permitted by law in the applicable jurisdiction. You specifically acknowledge that CodeAura shall not be liable for user submissions or the defamatory, offensive, or illegal conduct of any third party and that the risk of harm or damage from the foregoing rests entirely with you.

10.3 - Indemnification

You agree to defend, indemnify, and hold harmless CodeAura, its parent corporation, officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the CodeAura Service; (ii) your violation of any term of these Terms and Conditions; (iii) your violation of any third-party right, including without limitation any copyright, privacy, or property right; or (iv) any claim that your content caused damage to a third party. This defense and indemnification obligation will survive these Terms and Conditions and your use of the CodeAura Service.

This section on disclaimers and limitations of liability does not affect your statutory rights as a consumer or affect any liability which cannot be excluded or limited under applicable law.

11 - Dispute Resolution

11.1 - Governing Law

These Terms and Conditions and any separate agreements whereby CodeAura provides you Services shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions. The choice of law helps ensure that both parties know which laws will be applied to interpret the terms, should any disputes arise.

11.2 - Arbitration Agreement

You and CodeAura agree that any dispute, claim, or controversy arising out of or relating to these Terms and Conditions or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Canada, before one arbitrator. The arbitration shall be administered by an Arbitration Association in Canada pursuant to its Arbitration Rules & Procedures. Judgment on the award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.

You and CodeAura agree to submit to the personal jurisdiction of the arbitral forum for the purposes of arbitrating all such disputes, claims, or controversies. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

11.3 - Class Action Waiver

You and CodeAura agree that any arbitration will be conducted in your and CodeAura's individual capacities only and not as a class action or other representative action, and you and CodeAura expressly waive the right to file a class action or seek relief on a class basis. YOU AND CODEAURA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, and not as a plaintiff or class member in any purported class or representative proceeding. If any court or arbitrator determines that the class action waiver set forth in this paragraph is void or unenforceable for any reason or that an arbitration can proceed on a class basis, then the arbitration provision set forth above shall be deemed null and void in its entirety and the parties shall be deemed to have not agreed to arbitrate disputes.

This dispute resolution provision will survive the termination of any or all of your transactions with CodeAura.

12 - General Provisions

12.1 - Entire Agreement

These Terms and Conditions, together with any amendments and any additional agreements you may enter into with CodeAura in connection with the Service, shall constitute the entire agreement between you and CodeAura concerning the Service. This agreement supersedes and replaces any prior agreements, terms, conditions, or negotiations between you and CodeAura regarding the Service.

12.2 - Severability

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable for any reason by any court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, if possible, and the remaining provisions of these Terms and Conditions will continue in full force and effect. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validity and enforceability of the rest of these Terms and Conditions.

12.3 - Waiver

No waiver by CodeAura of any term or condition set forth in these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of CodeAura to assert a right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision. A waiver of any right or provision will be effective only if in writing and signed by a duly authorized representative of CodeAura.

The waiver by either party of any breach or default of these Terms and Conditions shall not be deemed to be a waiver of any preceding or subsequent breach or default.
